Access is granted per user role and per folder. Tick a top-level folder and everything beneath it opens, then uncheck any sub-folder that should stay closed. What a person can then do with a document depends on their system role.
No. Each company is normally given its own user role, and roles reach only the folders assigned to them. The separation extends to Q&A: buyer roles cannot see each other's questions, while the seller side sees them all.
Data in the data room is held in a dedicated virtual private cloud inside Europe, with no public IP address and no route in from the public internet. Documents are encrypted with AES-256 at rest and TLS 1.3 in transit.
Yes. The roles and folder permissions view exports the current access picture to Excel at any point, and every action in the data room is recorded in the activity trail, so the two together answer the question after the fact.
