Control access folder by folder, for every party on the deal
-
Access granted by role, not user by user
-
Competing buyers kept apart, in documents and in Q&A
-
The full access picture exported to Excel on demand
One set of documents, a different view for every party
In a live process the risk is rarely the platform. It is one folder opened to the wrong party by someone in a hurry, which is why security and access control in Admincontrol Data Room keeps every permission in a single grid.
Set up once
Access is defined by role, so adding another bidder to the process means one new role and a list of email addresses.
Precision without spreadsheets
A single grid maps every role against every folder, so nobody has to track who can see what in a side document.
Provable at any point
Export the current access picture to Excel and pair it with the activity trail when an adviser, an auditor or a regulator asks.
Nothing leaves by accident
Read-only roles cannot download or print, and dynamic watermarking and Fence View apply to the documents people can open.
SECURITY & ACCESS CONTROL
From first role to open access in four steps
Define
Create a user role for each company on the deal, set at seller or buyer level.
Assign
Tick the folders each role can open, then uncheck the sub-folders that should stay closed.
Invite
Paste a list of email addresses, pick the role and the system role, and send the invitations.
Adjust
Change access levels, deactivate people who leave, and export the current picture whenever it is asked for.
fOLDER PERMISSIONS
Grant a whole branch, then close the folders that should stay closed
Roles and folder permissions is one view: user roles across the top, your folder structure down the side. Every change saves as you make it, so the grid always reflects live access.
- Tick a top-level folder to open everything beneath it
- Uncheck any sub-folder to keep it closed
- Choose which roles appear in the folder view
sYSTEM ROLES
Five system roles, from view only to full control
Folder permissions decide which documents a person reaches. The system role decides what they can do once they are there, from viewing in the browser to running the data room.
- Read only blocks download and print on every document
- Content administrators manage content, not people
- No administrator can change a user's email address or username
Buyer separation
Competing buyers never see each other, in documents or in Q&A
One user role per company is the recommended set-up, and the separation holds beyond the folder tree. Each buyer role has its own Q&A, so questions asked by one bidder are invisible to the rest.
- One user role per company, the recommended set-up
- Each buyer role has its own Q&A thread
- The seller side sees every question from every role

FAQ
Access is granted per user role and per folder. Tick a top-level folder and everything beneath it opens, then uncheck any sub-folder that should stay closed. What a person can then do with a document depends on their system role.
No. Each company is normally given its own user role, and roles reach only the folders assigned to them. The separation extends to Q&A: buyer roles cannot see each other's questions, while the seller side sees them all.
Data in the data room is held in a dedicated virtual private cloud inside Europe, with no public IP address and no route in from the public internet. Documents are encrypted with AES-256 at rest and TLS 1.3 in transit.
Yes. The roles and folder permissions view exports the current access picture to Excel at any point, and every action in the data room is recorded in the activity trail, so the two together answer the question after the fact.
