Ylenia Fuligni, Senior Legal Specialist at ABB, is responsible for maintaining the company’s list of restricted employees, including persons discharging managerial responsibilities (PDMR), who cannot trade in the company’s securities during the 30 days before the organisation publishes its quarterly results. She also manages the organisation’s closed period reminders and event-based insider lists.
Managing restricted employees and closed periods
ABB’s insider trading policy defines two main groups of restricted employees:

The second covers employees with access to specific financial systems and tools, with this input coming from the teams responsible for granting access.

This is particularly important when an issuer may need to explain and justify their decision to delay disclosure or show that it followed the correct procedures to document everyone with access to that information. Ylenia Fuligni said:

The platform also stores all of the relevant documentation connected to PDMRs and their closely associated persons (PCA), including the statement outlining the obligation to disclose transactions by PCA.
